Board Governance Training

Serving on a Board brings experience, expertise and different perspectives to the table, but it also requires a clear understanding of what it means to govern effectively. This interactive workshop will explore four principles of effective Board membership: Learning, Commitment, Fiduciary and Governance. Participants will reflect on what they bring to the Board, the responsibilities that come with the role, and how Board members can provide strong oversight while giving the CEO and management team the space to execute.

Through discussion and practical examples, the session will explore fiduciary responsibilities, confidentiality, strategic oversight, the relationship between the Board and management, and the difference between governing and managing. The session will help Board members build a shared understanding of their role and how they can work together to support their organization’s long-term success.

After this session, your team will be able to:

  • Understand their role as Board members, including what they bring to the Board and what effective Board participation requires.
  • Recognize their key responsibilities as directors, including fiduciary duties, confidentiality, preparation, participation and collective responsibility.
  • Distinguish between governance and management, including the respective roles of the Board, CEO and management team.
  • Strengthen their approach to strategic oversight by asking effective questions, monitoring goals and performance, and supporting management without becoming involved in execution.
